Terms of Service

Please read these terms carefully before using our services or website. By engaging Feed Panda, you agree to be bound by the following terms.

1. About Feed Panda

Panda Propaganda LLC, doing business as Feed Panda ("Feed Panda," "we," "us"), is a digital services company incorporated in the State of Florida. Principal place of business: 1596 NE 3rd Ave, Florida City, FL 33034. Feed Panda provides website design and delivery, ongoing website care, business development center (BDC) services, CRM infrastructure, lead generation, and reputation management services to businesses.

2. Acceptance of These Terms

These Terms apply to your use of feedpanda.co, the Feed Panda client portal, and all Feed Panda services. By checking the "I agree" box during checkout, submitting payment, creating a portal account, or using our services, you agree to these Terms. Electronic acceptance constitutes a legally binding agreement under the federal E-SIGN Act and the Florida Uniform Electronic Transaction Act. When you accept, we record the date and time of your acceptance, the version of these Terms you accepted, your email address, and the service you selected.

3. Website Services — How Purchase Works

3.1 Preview first. For website services, Feed Panda may build a working preview of your website before any purchase. You can review the preview through a private link or in your client portal. You are under no obligation to purchase a preview.

3.2 Claiming your website. If you choose to proceed, you complete checkout through the secure claim page for your preview. At checkout you will see the total project price, your selected down payment, the resulting monthly installment amount (if any), and the monthly care plan fee. Completing checkout claims the website for your business.

3.3 What happens after purchase. After checkout, your client portal guides you through onboarding: confirming your domain, connecting it, finalizing content, and launching. Your website goes live once onboarding is complete and Feed Panda marks it live.

3.4 No guaranteed launch date. Launch timing depends on steps you control (domain, content, approvals). Feed Panda does not promise a specific launch date. Your portal shows your current launch stage at all times.

4. Pricing and Payment

4.1 Where prices live. All prices, down payment options, installment amounts, and monthly fees are displayed at checkout and in your client portal. The amounts you accept at checkout are the amounts that apply to your engagement.

4.2 Payment structures. Website services may be purchased in full at checkout, or with a down payment at checkout plus monthly installments of the remaining balance. All payments are processed by Stripe. Feed Panda does not see or store your full card details.

4.3 Installments. If you select an installment structure, your remaining balance is billed in equal monthly installments until the remaining balance shown at your checkout is paid in full. Your installment amount and remaining balance are visible in your client portal.

4.4 Care plan. Active website hosting and care is provided under a monthly care plan, billed at the monthly rate shown at checkout. Your first monthly billing date is approximately 30 days after checkout; subsequent charges recur monthly. The care plan continues until cancelled under Section 8.

4.5 Auto-billing. Monthly amounts are automatically charged to your card on file on each billing date. You are responsible for keeping a valid payment method on file.

4.6 Failed payments. If a payment fails, we will notify you and retry. If payment remains unresolved, Feed Panda may suspend services, including hosting, until the account is current. Repeated failure to pay is treated as cancellation under Section 8.

4.7 No refunds for current periods. Monthly charges are non-refundable for the billing period in which they are charged. See Section 11 for the full refund policy.

5. Your Content

You retain ownership of all written content, photographs, logos, brand assets, and business information you provide. You grant Feed Panda a license to use these materials to build, host, operate, and maintain your website and services. You are responsible for having the rights to everything you provide. These assets are returnable to you on request at any time.

6. Website Ownership

6.1 You own your website. Upon completing your website purchase, ownership of your website — the delivered site code, design, and structure built for your business — vests in you, subject only to payment of the full project price under your selected payment structure.

6.2 What Feed Panda retains. Feed Panda retains ownership of its pre-existing and independently developed materials: internal tools, templates, frameworks, build systems, component libraries, the Feed Panda client portal, and general know-how. To the extent any such materials are embedded in your delivered website, you receive a perpetual, non-exclusive, royalty-free license to use them as part of your website.

6.3 Third-party components. Your website may include open-source or third-party licensed components, which remain governed by their own licenses.

6.4 Portfolio rights. Feed Panda may display completed work in its portfolio and marketing materials unless you request otherwise in writing.

7. Hosting, Care, and Changes

7.1 Hosting and deployment. While your care plan is active, Feed Panda hosts, deploys, secures, and maintains your website. Hosting through Feed Panda requires an active care plan. This applies equally to websites paid in full and websites on installment plans.

7.2 What care includes. Your care plan includes hosting, SSL, deployment, uptime monitoring, security maintenance, and support through your client portal and Feed Panda Support.

7.3 Change allowance. Your care plan includes a monthly change allowance for website updates, as described in your current plan documentation in the client portal. The allowance resets monthly and unused allowance does not carry over. Work beyond your allowance, and work outside the scope of website changes (including integrations and custom functionality), may be quoted separately.

7.4 Requesting changes. Change requests are submitted through your client portal. Feed Panda will confirm scope before performing work that exceeds your allowance.

8. Cancellation and Code Handover

8.1 How to cancel. You may cancel your care plan at any time with written notice to admin@feedpanda.co, or through your client portal where available. Service continues through the end of your final paid billing period.

8.2 What happens when you cancel.Because you own your website, cancellation is a handover, not a shutdown of something you licensed. Within 10 business days after your final paid period ends and any remaining balance is settled, Feed Panda will deliver a compiled production build of your website suitable for deployment with a hosting provider of your choice. Feed Panda's hosting for your site ends within 7 business days after your final paid period. Upon handover, Feed Panda's obligations for your website end. Feed Panda has no obligation to migrate, install, document, or support your website after handover.

8.3 Unpaid balances. If you cancel while an installment balance remains, the remaining balance of your project price becomes due. Code handover occurs after the balance is paid in full. If the balance is not paid, Feed Panda may retain the website pending payment.

8.4 Applies after payment in full. Websites paid in full are subject to the same model: hosting requires an active care plan, and cancellation of the care plan triggers the same handover process at no additional project cost.

8.5 DNS on cancellation. Feed Panda will remove its DNS configurations within 7 business days of your final paid period, returning DNS control fully to you. You are responsible for configuring your domain with your new hosting provider.

9. Domains

9.1 You own your domain. Your domain must be registered in your name and paid for by you. Feed Panda never owns, registers, or holds your domain. Your domain is your most valuable digital asset and it stays yours at all times.

9.2 DNS access. You grant Feed Panda access to configure DNS records needed for hosting, SSL, and deployment. Feed Panda will not modify domain ownership or registrar settings and will not transfer your domain under any circumstances without your explicit written consent.

9.3 Domain assistance.If you do not own a domain, Feed Panda's onboarding will guide you through purchasing one in your own name.

9.4 Changing your domain. Before your website is live, you may update your domain through your portal onboarding steps; changing your domain resets the connection steps that depend on it. After your website is live, domain changes are submitted as a request through your portal and take effect when approved by Feed Panda, so that your live site is never disrupted by an unverified change. Feed Panda may decline a requested change with a stated reason; you may re-submit.

9.5 Affiliate disclosure. Domain purchase links provided by Feed Panda may be affiliate links, meaning Feed Panda may earn a commission from the registrar at no additional cost to you. Domain pricing is set by the registrar, and the domain is always purchased in your name with your payment method.

10. Managed Platform Services

10.1 This section applies to services Feed Panda operates for you on managed third-party platforms, including BDC services, CRM and pipeline infrastructure, lead generation, and reputation management.

10.2 Access, not ownership.Configurations, automations, workflows, scripts, and system architecture that Feed Panda builds and operates on managed platforms are Feed Panda's proprietary infrastructure. You purchase access to and the output of these systems during your active subscription, not ownership of the systems themselves.

10.3 Your data is yours. Contact records, lead records, customer data, and pipeline history generated for your business belong to you. Upon cancellation of a managed platform service, Feed Panda delivers a one-time export of your contact and pipeline records in a standard format (such as CSV) within 10 business days. System configurations, automation logic, and platform architecture are not transferred or documented.

10.4 Deactivation. Upon cancellation, managed platform systems for your account are deactivated within 7 business days after your final paid period.

10.5 Credentials.Feed Panda does not store your credentials for third-party platforms. Where a service requires access to an account you own, access is granted through the platform's own delegation or authorization mechanisms.

11. Refunds and Disputes

11.1 Down payments and payments in full are non-refundable once checkout is complete. Your website exists and is reviewable as a working preview before you pay; completing checkout confirms your acceptance of the deliverable as previewed, subject to onboarding and the changes included in your plan.

11.2 Monthly charges (care plan and installments) are non-refundable for the current billing period. Cancelling stops future charges; it does not refund past ones.

11.3 Billing errors. If you believe you were charged in error, contact admin@feedpanda.co and we will investigate promptly and correct verified errors.

11.4 Chargebacks. Please contact us before initiating a payment dispute. Your portal shows your plan, your payment history context, and your next payment at all times so that every charge is explainable. Feed Panda reserves the right to suspend services during an open payment dispute and to present acceptance records, portal activity, and delivery records in response to any dispute.

12. Portal Tools and Business Information

Your client portal may include interactive tools, such as calculators and service estimators, that ask for information about your business (for example, call volumes, customer values, or review counts). Information you enter may be saved to your client profile so your portal experience, service recommendations, and communications from Feed Panda can be tailored to your business. See the Privacy Policy for details on how this information is used and your choices.

13. Client Responsibilities

You agree to: provide accurate business information; respond to onboarding steps and approval requests in a timely manner; own and maintain your domain; maintain a valid payment method; and notify Feed Panda of material changes to your business that affect the services. Delays in providing required materials extend timelines accordingly.

14. Limitation of Liability

Feed Panda's total liability arising out of or relating to the services shall not exceed the total fees paid by you in the 3 months preceding the claim. Feed Panda is not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost revenue, or lost data. Feed Panda does not guarantee specific business results, including revenue increases, lead volumes, call outcomes, search rankings, or review outcomes.

15. Indemnification

You agree to indemnify, defend, and hold harmless Panda Propaganda LLC, its officers, employees, and contractors from claims arising out of your use of the services, your violation of these Terms, or content and information you provide.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida. Disputes shall be resolved by binding arbitration in Miami-Dade County, Florida under American Arbitration Association rules. Feed Panda may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

17. Changes to These Terms

Feed Panda may modify these Terms. Changes are posted at feedpanda.co/terms with an updated version number and effective date. For active clients, material changes are communicated by email at least 14 days before taking effect. Continued use of the services after the effective date constitutes acceptance.
